You cant ajust the opacity of the background layer because it's locked, to unlock it double click the small pic on the layers palette and click ok on the pop up box, you should now be able to ajust the opacity.
I'd recomend creating a new layer after you unlock the background, then fill the new layer with white, and using the move tool, drag it below the background layer on the layers palette. Wayne
