Ok that didn't do it. When I move it over to "Illy" Still has the white rectangle. Here's the pic.

Well, to be honest I can't remember if PS 5 placed in AI 8.0 supports transparency. You can do it the old fashion way and make a clipping path. Ugh.
And just to make sure… all the white around the eagle was made transparent, saved as a psd file and PLACED (NOT copy+paste) in Illustrator?

Yeah I tried all that. Is it real easy to do this stuff in the newer versions?

A newer version of Photoshop won’t make it any easier. What you need (I guess) is a version of Illustrator that retains transparency from a placed psd file. As I recall, that started with... Illy 9.0? Maybe. Certainly AI 10 and later will retain transparency.
What I’m not sure of is if there is any difference between a between transparency info of a PS 5.0 psd doc and similar file created with later versions.
If you want, PM me and I’ll give you an email to send the .psd. I’ll see if the transparency is retained in Illy 10 and 11.

Maybe I'm asking the wrong thing. All I want to do is cut that hawk out and put it on my cd cover in Illustrator 8. The background that I'm poutting it on is also a photoshop image. Is it easier to do it all in PS then place in Ill.?

Oh. If the background is in PS, just do the whole thing in Photoshop 5.
