How do I overlay images?

Specifically. I have a need for an image to be exactly 204X188 pixels. I have an image with different proportions than that. I tried to make a white box 204X188 pixels, reduce the image to fit in the box and overlay the image over the box. I couldn't get it done. It must have something to do with layers but I'm not able to get both images into layer area at the same time. How do you experts handle this type of thing? Thanks.

Just drag the second image into the first image and resize it with the move tool in the image you want to work on. When you drag it, it will be the top layer.
